Terms of Service

Effective date: October 17, 2026

1. Agreement and acceptance

These Terms of Service ("Terms") are a binding agreement between Corva Fitness LLC, a Delaware limited liability company ("Corva," "we," "our") and you. You accept these Terms by creating an account, tapping acceptance in the app, or using the Platform. If we make material changes, we will present the updated Terms in the app for your acceptance before continued use; the effective date at the top of the then-current Terms governs.

2. Definitions

• "Platform" means the Corva mobile applications, websites, and related services. • "Client" means a user seeking personal training. "Trainer" means an independent personal trainer offering services through the Platform. Trainers are additionally bound by the Independent Contractor Agreement ("ICA"), which controls for Trainers where it conflicts with these Terms. • "Session" means a personal training appointment booked through the Platform, in one of three modes: at the Trainer's location, at the Client's location ("at-home"), or virtual. • "Session Price" means the price the Trainer sets for a Session length. "Travel Fee" means the optional flat fee a Trainer sets for at-home Sessions. "Service Fee" means Corva's fee charged to the Client, disclosed at checkout. "Total" means Session Price plus applicable Travel Fee plus Service Fee, as itemized at checkout.

3. Corva's role

Corva is a marketplace. Corva is not a gym, employer, staffing agency, or healthcare provider; does not provide, supervise, or direct training services; and is not a party to the service relationship between Client and Trainer. Trainers are independent businesses who set their own prices (within Platform-wide parameters), schedules, and methods. Corva's verification measures (certification review, CPR/AED review, background screening of Trainers, and identity verification of Clients for at-home Sessions) are described in Sections 6 and 7; they reduce risk but are not a guarantee of any person's conduct or safety.

4. Eligibility and account rules

• At signup you must confirm that you are at least 18 years old. We remove accounts of anyone we learn is under 18. • You must register under your legal name and provide accurate information. Clients must upload a clear photo of their face; this is a safety feature that lets Trainers identify who they are meeting. • One account per person per role. You may not transfer your account or let others use it. • Sign-in uses one-time codes sent to your email. You are responsible for securing that email account and for all activity on your Corva account.

5. Booking, payment authorization, and fees

• Requesting: to send a booking request, a Client must have a payment method saved with Stripe, our payment processor. Corva never stores card numbers; Corva stores only payment tokens and references. A request itself creates no charge and no obligation. • Acceptance and charge: by sending a request, the Client authorizes Corva (through Stripe) to charge the Client's saved payment method for the Total shown at checkout if and when the Trainer accepts, including while the Client is not using the app. The charge occurs at the moment of Trainer acceptance, which is when the booking is formed. • Declines and expiry: Trainers may decline any request for any lawful reason. Declining is free for both sides; no charge occurs. Requests not answered before their stated expiry lapse automatically with no charge. • Fees: the Service Fee is disclosed at checkout before the Client sends a request. The Service Fee is the greater of \$3.99 or 5% of the sum of the Session Price and any Travel Fee. The Travel Fee, where shown, is set by the Trainer, not Corva, and applies only to at-home Sessions. • Wallets: payment methods may be added via Apple Pay or Google Pay through Stripe; the same authorization applies.

6. Identity verification for at-home Sessions

Because an at-home Session means a Trainer entering a private residence, a Client must complete a one-time identity verification before requesting one. Verification is performed by Stripe Identity: the Client photographs a government ID and takes a live selfie in Stripe's flow; Stripe performs the document check and face match. Corva receives and stores only the result, a Stripe reference, and a timestamp; the underlying images are collected and held by Stripe pursuant to Stripe policies and guidelines, not on Corva's systems. Verified status appears to Trainers on at-home requests. A Client who declines verification simply cannot book at-home Sessions; all other features work normally. Verification is one-time; the Platform will not ask again.

7. Trainer screening (what Clients can rely on, and its limits)

Before approval, every Trainer must submit at least one recognized personal training certification to Corva, and must complete a criminal background check performed by Checkr, a consumer reporting agency, under Checkr's own disclosures and authorizations. A Trainer must also hold a current CPR/AED certification, verified by Corva, before offering in-person Sessions at the Trainer's location or the Client's location; virtual-only Trainers are not required to hold one. Corva approves Trainers whose results meet Corva's screening criteria and may re-verify credentials periodically. Screening is a point-in-time measure and does not guarantee future certifications or conduct. Corva does not require Trainers to carry insurance; Trainers are independent businesses responsible for their own coverage and solely liable for the services they provide.

8. Cancellations, rescheduling, and refunds

• Client cancellation, 24 hours or more before start: full refund to the original payment method, including the Service Fee. • Client cancellation, less than 24 hours before start: no refund; the amount is retained and the Trainer is compensated under the ICA. Corva retains the Service Fee on a late cancellation. This policy is disclosed at checkout before every request. • Trainer cancellation at any time: Client refunded in full, including the Service Fee. Corva may additionally suggest alternative Trainers. • Rescheduling: either party may propose a new time. A proposal changes nothing until accepted; declining a proposal keeps the Session at its original confirmed time and is never a cancellation. Proposals may be withdrawn by the proposer, which likewise leaves the original time in force. Reschedule proposals are limited to two per booking; a third attempt is refused and is processed as a cancellation by the proposing party, with the consequences this Section attaches to that party's cancellation at that time. • Refund mechanics: refunds are issued through Stripe to the original payment method; processing times are outside the control of Corva.

9. Session completion, PIN, and disputes

• Each confirmed Session includes a four-digit completion PIN displayed to the Client. At the Session's end the Trainer enters the Client's PIN to confirm completion, which releases the Trainer's payout. • If no PIN is entered, the Session auto-completes 72 hours after its scheduled end and the payout releases, unless a dispute or reported issue intervenes. • Entering three incorrect PINs places the Session in a disputed state: the payout freezes and Corva reviews. Reported issues (for example a claimed no-show) likewise hold the payout for review. • Resolution: after review, Corva may release the payout, refund the Client, or divide the amount, and will provide a reason for every resolution. The Service Fee is refunded in full on a refund or divided resolution and retained on a release. Corva's good-faith resolution under this Section is final as between the parties for the amount at issue, without limiting either party's other legal rights.

10. Health representations and assumption of risk

By booking a Session, the Client represents that the Client has no medical condition that makes participation unsafe, or has obtained a physician's clearance, and agrees to disclose relevant limitations to the Trainer. Physical exercise carries inherent risks, including serious injury. To the maximum extent permitted by law, the Client knowingly and voluntarily assumes the risks inherent in physical training and agrees that Corva, as the marketplace, is not liable for injuries arising from the training services themselves.

11. Community standards and enforcement

• The Corva Community Guidelines are part of these Terms and consist of these core rules: be who you say you are; professional conduct always; no harassment, discrimination, or sexual misconduct; keep payment for Platform-arranged Sessions on the Platform; honest use of booking, PIN, and review systems. • Users can block and report one another. Reports are reviewed by Corva; a reported conversation's messages may be reviewed as evidence under the logged-access rules in the Privacy Policy. • Corva may warn, apply strikes, suspend, or permanently remove accounts for violations, fraud, chargebacks abuse, safety risk, or legal compliance, with severity proportionate to conduct. A suspended account cannot book, accept, or message. Corva may report unlawful conduct to law enforcement.

12. Off-platform payment and non-circumvention

For twelve (12) months after the last Session between a given Client and Trainer who were first introduced through the Platform, neither will solicit, offer, or accept payment for personal training services with the other outside the Platform where the purpose or effect is to avoid Platform fees. This restriction does not apply to relationships that predate the Platform introduction, including clients a Trainer brings to Corva via the Trainer's invite code. Corva's remedy for breach is termination of the accounts involved.

13. Messaging, notifications, and contact consent

The Platform provides in-app messaging between matched users; message history is retained per the Privacy Policy. By creating an account you consent to transactional communications: booking and Session emails and push notifications, sign-in codes, and safety or account notices. Marketing communications, if any, will honor opt-out.

14. User content and license

You retain ownership of content you submit (photos, bios, prompts, messages, notes). You grant Corva a non-exclusive, worldwide, royalty-free license to host, display, and reproduce that content as needed to operate the Platform, and, for Trainer public profile content only, to display it in Corva marketing that presents the Platform. You represent you have the rights to what you upload. Corva may remove content violating these Terms.

15. Third-party services

The Platform is built on third-party services that process data or provide functionality under their own terms: Stripe (payments, payouts, identity verification), Checkr (Trainer screening), Google (virtual Session video links), Mapbox (maps and address search), Supabase (hosting), Resend (sign-in email), and Expo (push notifications) and potentially other third-party services. Corva is not responsible for outages or acts of these providers, though Corva chooses them with care.

16. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CORVA DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, AND MAKES NO WARRANTY REGARDING ANY USER.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS AND (B) THE AMOUNTS YOU PAID TO CORVA (OR, FOR TRAINERS, THE PLATFORM FEES CORVA RETAINED FROM YOUR SESSIONS) IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. CORVA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Nothing in these Terms limits liability that cannot be limited by law, including for gross negligence, willful misconduct, or death or personal injury caused by Corva's own negligence where such limits are unenforceable.

18. Indemnification

You will defend and indemnify Corva against third-party claims arising from your breach of these Terms, your violation of law, or your content, except to the extent caused by Corva's gross negligence or willful misconduct. For Trainers, the ICA's indemnity controls.

19. Dispute resolution, arbitration, class waiver, governing law

• Informal first: before filing, a party must send written notice of the dispute to connect@corvafitness.com or the mailing address in Section 21 and allow 30 days for good-faith resolution. • Arbitration: any dispute not resolved informally will be finally resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seat Westchester County, New York, with fees allocated per those Rules. Either party may instead bring an individual claim in small claims court. YOU AND CORVA WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS OR REPRESENTATIVE ACTIONS. • Governing law: New York, without regard to conflicts rules; exclusive venue for non-arbitrable matters is the state or federal courts sitting in Westchester County, New York.

20. Termination

You may stop using the Platform at any time and may delete your account in the app, subject to completing or lawfully resolving confirmed Sessions and outstanding payment matters. Corva may suspend or terminate per Section 11. Sections that by their nature survive (payment obligations, Sections 10, 12, 14, and 16 through 21) survive termination.

21. General

Severability: if a provision is unenforceable, the remainder stands, and the provision is enforced to the maximum lawful extent. Assignment: you may not assign these Terms; Corva may assign to an affiliate or in a merger or sale. Force majeure: neither party is liable for delay caused by events beyond reasonable control. Entire agreement: these Terms, the Privacy Policy, the Community Guidelines, and, for Trainers, the ICA are the entire agreement. Notices to Corva: Corva Fitness LLC, c/o Resident Agents Inc., 8 The Green, Suite R, Dover, DE 19901, or connect@corvafitness.com. No waiver is implied from any failure to enforce.
